Setting up your
business in the EU doesn't have to be double Dutch!
Establish your business at the Gateway to Europe in an innovative and
business-friendly environment! Although frictionless trade in the EU is the
number one advantage of establishing an EU company, not all EU companies are
equal. The Dutch private limited company (BV) is particularly advantageous for
small businesses with foreign directors.
Advantages of a Dutch BV:
You don’t have to be resident in the EU to form or run the company;
You only need 1 EUR in share capital;
Your company will pay some of the lowest corporation tax rates in the
EU, with the low-rate tax threshold is being raised by a massive 61% next year:
2021: 15% below 245,000 EUR
2022: 15% below 395,000 EUR
For certain sectors, your VAT is charged at a lower rate of 9% (21%
higher rate).
Advantages of the Netherlands as a location for
your business
The
Netherlands is a fantastic location for doing business both in the EU and with
the rest of the world. It is the logistics hub of Europe. Rotterdam — by far
the largest and busiest sea port in the EU — handles 465 million tons of cargo
annually, over twice the volume of Antwerp, its nearest rival and second in the
EU. In addition to the multi-modal sea, rail and road infrastructure,
extensively-used canals and internal waterways connect Rotterdam to the Rhine,
providing an environmentally-friendly freight channel to the huge German market
and beyond. It is a veritable gateway to Europe, with enormous warehousing facilities.
Short, fast and direct UK transport links
If you and your business are currently based in the UK, you’ll want the
best possible connections to your new location by air, land and sea:
• Amsterdam airport is a global hub that connects almost any British
international airport to the rest of the world;
• The Eurostar will take you from central London to Rotterdam in just 3
hours and 13 minutes, a relaxing an environmentally-friendly way to travel
through Europe;
• There are direct ferry links from Hull and Harwich to the Netherlands,
with travel more akin to an overnight cruise, with a cinema, restaurant and
luxurious cabins, that will take you to the Hook of Holland, located opposite
Rotterdam Europort, from where you can reach central Rotterdam or The Hague in
just half an hour.
KvK Registration
Companies in the Netherlands are registered with the Dutch Chamber of
Commerce (KvK) in the Commercial Register (Handelsregister).
LTD = BV
The Dutch equivalent of a UK private limited company is called a
“Besloten Vennootschap met Beperkte Aansprakelijkheid”, more commonly known as
a “Besloten Vennootschap” or BV. A BV is a legal entity and can be set up by
individuals or partners (shareholders). As a director, your private liability
is limited.
Virtual or Physical Office?
A virtual office in the EU may be enough for your business, or it may be

VAT Registration
VAT, or BTW (Belasting Toegevoegde Waarde) as it is known in the
Netherlands, is currently set at 21%. There are some exceptions to the
otherwise mandatory VAT registration for Dutch companies, but one of the major
advantages of an EU company is administrative simplification with an EU VAT
registration.
Mini One Stop Shop (MOSS) Registration
The Mini One Stop Shop (MOSS) is an optional scheme for digital
services, that allows you to account for VAT – due in multiple EU countries for
certain goods or services – in just one EU country, saving you considerable red
tape!
EORI Registration
If you’re moving goods between the UK and EU or vice-versa, you are
required to register for an EORI (Economic Operator Registration
Identification) number. UK EORI numbers start with ‘GB’, Dutch ones start with
‘NL’.
Without a valid GB or
EU EORI number, your goods will not clear customs authorities regardless of
your VAT status.
UBO Registration
Since
27 September 2020 it is mandatory to register the ultimate beneficial owner of
a Dutch company in the Ultimate Beneficial Owner (UBO) Register. This measure
is the result of the EU anti-money laundering legislation, and is set out in
the Dutch Prevention of Money Laundering and Terrorist Financing Act (Wet ter
voorkoming van witwassen en financiering van terrorisme, (Wwft)) and the
Commercial Register Act (Handelsregisterwet).
The
ultimate beneficial owner of a company is defined as a person with over 25% of
shares or voting rights of a company or is otherwise effectively in control of
the company. This UBO register is part of the trade register and will be
managed by the Netherlands Chamber of Commerce (KVK). The UBO register is not
the same as the Central Shareholders Register (Centraal Aandeelhoudersregister,
CAHR).

Register or renew a .eu domain name
Since
Brexit, the first sign of a business up and running in the EU is an EU domain
name. It signals to potential clients that you take the EU market seriously,
and that you have an established presence there. For those wanting to renew or buy
top-level dot EU (.eu) domain names, we've got it covered!
New Import One-Stop Shop (IOSS)
Ensure your EU customers don’t get any
nasty surprises (costs) when collecting their packages! From 1 April 2021,
businesses based in the EU can register on the IOSS portal of any EU Member
State. You can take advantage of the EU scheme by appointing a euify
intermediary to fulfil your VAT obligations under IOSS. The IOSS registration
is valid for all distance sales of imported goods to buyers in the EU and is operational
as of 1 July 2021 for goods sold.
